L’équipe droit des sociétés du cabinet est composée d’avocats spécialisés dans les opérations de (i) fusions-acquisitions, cessions, partenariats capitalistiques, structuration et restructurations dans le cadre de projets d’implantation, de rapprochement et de développement d’entreprises et de grands groupes, (ii) de private equity (capital-risque, capital développement), mécanismes d’optimisation d’acquisition (LBO/MBO/OBO), pactes d’actionnaires, marchés de capitaux, (iii) d’introductions en bourse (IPO) ou d’offres publiques, (iv) de financement/refinancement, ou (v) d’audits juridiques.

Notre activité « Corporate, M&A, Private Equity » est réalisée en étroite collaboration avec les autres équipes du cabinet (VDD, due diligences, contrôle des concentrations, structurations et conséquences sociales et fiscales de nos opérations, …).

L’équipe intervient également sur des sujets du quotidien ou de gouvernance (assistance dans le suivi du secrétariat juridique), de support juridique (droit des sociétés général, droit boursier), de rédaction des documents sociaux (création de sociétés, assemblées générales, approbations des comptes, changement de dirigeants ou de siège social etc.), et de veille juridique (légale, réglementaire, jurisprudentielle).
